THIS SETTLEMENT AGREEMENT (this “Settlement Agreement”) is made and entered into as of February 12, 2013 by and between Precision Optics Corporation, Inc., a Massachusetts corporation (the “Company”), on the one hand, and Arnold Schumsky, an individual (the “Investor”), on the other hand.
