This letter agreement (“Agreement”) confirms the terms under which Hermitage Offshore Services Ltd. and each of its affiliates and subsidiaries (collectively, the “Company”) has engaged Perella Weinberg Partners LP (together with its corporate advisory affiliates, “Perella Weinberg Partners,” “we” or “us”) as its financial advisor since April 30, 2020. For purposes hereof, the term “Company” includes affiliates and subsidiaries of the Company and any entity that the Company or its affiliates or subsidiaries may form or invest in and shall also include any successor to or assignee of all or a portion of the assets and/or businesses of the Company.
