The Bonds are being issued by the Issuer pursuant to a Trust Indenture dated as of April 1, 2016 (the “Indenture”) between the Issuer and UMB Bank, N.A., as trustee for the Bonds (the “Trustee”) and are being loaned to the Borrower under a Loan Agreement dated as of April 1, 2016 (the “Loan Agreement”) between the Issuer and the Borrower for the purpose of (a) financing the purchase of the Project Facility and (b) providing funds for other lawful purposes pursuant to the terms of the Indenture, including payment of transaction expenses and fees. Capitalized terms not otherwise defined herein shall have the same meanings ascribed thereto in the Indenture.
