The undersigned, Canaccord Genuity Corp., as lead agent (the “Lead Agent”), together with Clarus Securities Inc., as co-lead agent, and GMP Securities L.P. and Paradigm Capital Inc. (collectively, the “Agents”) understand that Fire Cannabis Inc. d/b/a Slang Worldwide (the “Corporation”) proposes to issue and sell 43,998,590 subscription receipts of the Corporation (the “Subscription Receipts”) at a price of $1.50 (the “Subscription Price”), for aggregate gross proceeds of $65,997,885 (the “Offering”) pursuant to the terms of this Agreement.
