entered into an agency agreement dated 8 October 2015 which was most recently amended by way of an amended and restated agency agreement dated 26 August 2021 (the "Original Agency Agreement"). With effect from the date hereof, the parties to this Agreement wish to amend and restate the Original Agency Agreement on the terms set out in these presents and agree that the amendments contained in this Agreement take effect from the date hereof and in no way affect the Certificates issued under the Programme prior to the date hereof which shall continue to be governed by the 2012 Agency Agreement or Original Agency Agreement (as applicable).

Properties, the Guarantor, the Delegate and, inter alios, the Principal Paying Agent entered into an agency agreement dated 8 October 2015 which was most recently amended by way of an amended and restated agency agreement dated 12 June 2018 (the "Original Agency Agreement"). With effect from the date hereof, the parties to this Agreement wish to amend and restate the Original Agency Agreement on the terms set out in these presents and agree that the amendments contained in this Agreement take effect from the date hereof and in no way affect the Certificates issued under the Programme prior to the date hereof which shall continue to be governed by the 2012 Agency Agreement or Original Agency Agreement (as applicable).
