THIS EXCHANGE AGREEMENT ("Agreement") is made to be effective as of October , 2010 ("Effective Date") between the CITY OF LINCOLN, NEBRASKA, a Nebraska municipal corporation ("City"), and BNSF RAILWAY COMPANY, a Delaware corporation ("BNSF"). City and BNSF, respectively, are sometimes referred to in this Agreement each as a "Party" and collectively, as the "Parties".
