Echelon Wealth Partners Inc., as lead agent, together with Canaccord Genuity Corp. (collectively, the “Agents”) understand that MPX Bioceutical Corporation (the “Corporation”) proposes to issue and sell up to 53,191,489 units (“Units”) at a price of $0.47 per Unit (the “Offered Securities”). Each Unit consists of one common share in the capital of the Corporation (a “Common Share”) and one-half of one common share purchase warrant (each whole warrant, a “Warrant”). Each Warrant entitles the holder to purchase one Common Share at a price of $0.64 for a period expiring 24 months after Closing (as defined below).
