The undersigned, Eight Capital (the “Lead Agent”), Haywood Securities Inc. and Paradigm Capital Inc. (collectively with the Lead Agent, the “Agents”) understand that Hollister Biosciences Inc. (the “Company”) proposes to undertake a private placement of up to 17,810,000 special warrants (the “Special Warrants”) of the Company at a price of $0.365 per Special Warrant (the “Issue Price”) for gross proceeds to the Company of up to $6,500,650 (the “Offering”). The Special Warrants will be duly and validly created and issued pursuant to, and governed by, a special warrant indenture (the “Special Warrant Indenture”) to be entered into on the Closing Date (as defined herein) between the Company and Olympia Trust Company, as the special warrant agent (the “Special Warrant Agent”). Each Special Warrant will entitle the holder thereof to automatically acquire one unit of the Company (each, a “Unit”) on the Automatic Exercise Date (as defined herein) without payment of additional consideration, s
