THIS EXCHANGE AGREEMENT (“Agreement”) is made as of the day of , 2018 (the “Effective Date”), between the CITY OF TEMPE, an Arizona municipal corporation (“City”), Mill Avenue Retail, LLC, an Arizona limited liability company (“MAR”), and Mill Avenue Office, LLC, an Arizona limited liability company (“MAO”) (MAR and MAO are sometimes collectively referred to herein as “Developer”).
