This Amended and Restated Development Agreement (“Amended and Restated Development Agreement”) of Shelter Cove Mall is entered into by and between Shelter Cove Towne Center, LLC (“SCTC”), a South Carolina limited liability company, and Shelter Cove II, LLC (“SCII”), a South Carolina limited liability company (collectively referred to as “DEVELOPER”), and the Town of Hilton Head Island, South Carolina (“Town”) and shall be deemed to have become effective on the Effective Date, as defined herein.
