The purpose of this letter (the “Agreement”) is to confirm and outline the basis on which ACM Management Inc. (“ACM”) will provide accounting and CFO services to OMNI Commerce Corp. (“OMNI”). The terms and conditions of this Agreement apply to all work performed for OMNI by ACM except where otherwise agreed in writing.
