This Agency Agreement (the "Agreement") is made as of this 5th day of January, 2011, by and between the joint venture of Gordon Brothers Retail Partners, LLC and Hilco Merchant Resources, LLC (collectively, the "Agent") and Anchor Blue Holding Corp., a Delaware Corporation with a principal place of business at 1260 Corona Pointe Ct., Corona, CA 92879, and its direct and indirect subsidiaries (collectively, the "Merchant").
