PARTNERSHIP AGREEMENT (this “Agreement”) is made and entered into as of this day of August, 2022 (the “Date of this Agreement”), by and between the Puerto Rico Ports Authority (the “Authority”), a public corporation and governmental instrumentality of the Commonwealth of Puerto Rico, created pursuant to Act No. 125 of the Legislative Assembly of Puerto Rico enacted on May 7, 1942, as amended, and San Juan Cruise Port LLC (the “Concession Company”), a limited liability company organized under the laws of the Commonwealth of Puerto Rico.
