This Agreement is being offered to you to provide both you and Yahoo! with certainty in the event that your employment with Yahoo! is terminated by Yahoo! without Cause or in the event you resign from Yahoo! for Good Reason.1 You will not be entitled to any severance benefits under this Agreement if your employment is terminated with Cause, if you voluntarily resign from your employment with Yahoo! without Good Reason, or if your employment terminates due to your death or disability (except as related to Equity Awards and specifically described below).2
