Echelon Wealth Partners Inc. (the “Lead Agent”), as lead agent and bookrunner, together with M Partners Inc. (“M Partners” and together with the Lead Agent, the “Agents”) understand that Silver Hammer Mining Corp. (the “Corporation”) proposes to issue and sell up to 12,000,000 units of the Corporation (the “Offered Units”), at a price of $0.25 per Unit (the “Purchase Price”), for aggregate gross proceeds of up to $3,000,000, subject to the terms and conditions set out below. In addition, the Corporation hereby grants the Agents an option (the “Over-Allotment Option”) to increase the size of the Offering to sell up to an additional 1,800,000 Offered Units (the “Additional Units”) for additional gross proceeds of up to $450,000. The Over-Allotment Option is exercisable at any time on or before forty-eight (48) hours prior to the final Closing Date (as hereinafter defined).
