This term sheet is intended to describe the general terms of an amendment to the Development Agreement dated September 30, 2009 by and between The Township of Lower Merion (the “Township”) and Dranoff Properties, Inc. (“Dranoff”), as previously amended (the “Development Agreement”). We contemplate that the amendment will take the form of entering into an amended and restated development agreement (the “Amended and Restated Development Agreement”).
