THIS DEVELOPMENT AGREEMENT (“Agreement”), effective as of February_____, 2004 (“Effective Date”), is made by and between Lucent Technologies Inc., a Delaware corporation, with offices located at 600 Mountain Avenue, Murray Hill, New Jersey 07974-0636 (“Lucent”) and mPhase Technologies Inc., a New Jersey corporation, with offices located at 587 Connecticut Avenue, Norwalk, CT 06854 (“Company”). Lucent and Company are sometimes referred to herein individually as a “Party” and collectively as the “Parties”. The Parties agree as follows:
