THIS DEVELOPMENT AGREEMENT (“Agreement”) is entered into as of the Effective Date (as defined below) by and among THE CITY OF CHULA VISTA, a California charter city and municipal corporation (“City”), VILLAGE II TOWN CENTER, LLC, a California limited liability company (“Village II”) and SUNRANCH CAPITAL PARTNERS, LLC, a Delaware limited liability company (“Sunranch”). Village II and Sunranch are collectively referred to in this Agreement as the “Owner”. The City or the Owner are sometimes individually referred to in this Agreement as a “Party” and are collectively referred to as the “Parties”.
