This letter agreement (this “Agreement”), entered into as of April 8, 2020 (the “Effective Date”), confirms the terms of the agreement among Ankura Consulting Group, LLC (“Ankura”) and Weil, Gotshal & Manges LLP (“Weil”), as counsel to and on behalf of the Exide Holdings, Inc. (collectively, with its direct and indirect subsidiaries, the “Company” and, the Company together with Weil, the “Group”), for the engagement of Ankura, by Weil, to provide financial and restructuring advisory services to Weil for the benefit of the Special Committee (as defined below), as set forth below. For the avoidance of doubt, references to the Company herein shall mean the special committee appointed in April 2020 (the “Special Committee”). Notwithstanding anything to the contrary in this Agreement, Ankura and the Company each acknowledge and agree that Weil shall not be responsible for any fees, expenses, indemnification rights or other amounts or payments that may be due and payable directly or indirect
