Each Flow-Through Unit is comprised of one Flow-Through Unit Share (as defined herein) and one Warrant (as defined herein), and each HD Unit is comprised of one HD Unit Share (as defined herein) and one Warrant. The Warrants shall be duly and validly created and issued pursuant to, and governed by, the Warrant Indenture (as defined herein) to be dated as of the Closing Date (as defined herein) between the Company and Warrant Agent (as defined herein). Each Warrant entitles the holder thereof to purchase one Warrant Share (as defined herein) at a price of $1.02 per share for a period of 24 months following the Closing Date. The description of the Warrants herein is a summary only and is subject to the specific attributes and detailed provisions of the Warrants to be set forth in the Warrant Indenture.
