This Agreement is effective as of the date both of the following occur or have occurred: (a) COSE accepts Client’s initial order and sends Client a corresponding Sales Order; and (b) Client manifests consent to the terms of this Agreement by executing the Sales Order or otherwise indicating acceptance of this Agreement through downloading, using, or otherwise accessing COSE Electronic Health IS and/or any Subscription Enhancements (“Effective Date”).
