This 1450 East Improvement Reimbursement Agreement (the “Agreement”) is entered into this day of , 2020, by and among the City of St. George, a municipal corporation of the State of Utah (hereinafter the “City”), Foremaster Holding, LC, a Utah limited liability company (hereinafter “Foremaster”), and Foremaster, LLC, a Utah limited liability company, R & M Randall, L.L.C., a Utah limited liability company, Mary Alice F. Gates, Trustee of the Mary Alice F. Gates Revocable Trust, dated July 23, 1981, and MJBTCB Development Properties, LC, a Utah limited liability company (the “Foremaster Affiliates”). City, Foremaster and the Foremaster Affiliates are hereinafter collectively referred to as the “Parties.”
