THIS DEVELOPMENT AGREEMENT (the “Agreement”) is entered into as of [ ], 2020, among the CITY OF UNIVERSITY HEIGHTS (the “City”), a municipal corporation duly organized and validly existing under the laws of the State of Ohio, having an address 2300 Warrensville Center Rd, University Heights, OH 44118 and KL Holdings LLC, an Ohio limited liability company (the “Developer”), with its principal offices at 6009-B Landerhaven Drive, Mayfield Heights OH 44124. (The City and Developer are collectively referenced as “Parties.”)
