Echelon Wealth Partners Inc. (the "Lead Agent") and Research Capital Corporation (together with the Lead Agent, the "Agents") understands that Trillion Energy International Inc. (the "Corporation") proposes to issue and sell an aggregate of up to 64,516,000 units of the Corporation (the "Units") at a price of $0.31 per Unit. Each Unit will consist of one common share (a "Common Share") of the Corporation (a "Unit Share") and one half of one Common Share purchase warrant of the Corporation (each whole such warrant, a "Warrant"). Each Warrant will entitle the holder thereof to acquire, subject to adjustment in accordance with the Warrant Indenture (as defined herein), one Common Share (each, a "Warrant Share") at an exercise price of $0.50 per Warrant Share at any time prior to 5:00 p.m. (Vancouver time) on the date that is thirty-six (36) months following the Closing Date (as defined herein).
