Capital Southwest Corporation, a Texas corporation (the “Company”), and [ ] (the “Manager”), confirm their agreement to amend and restate that certain Amended and Restated Equity Distribution Agreement, dated August 20, 2019, by and between the Company and the Manager (the “Amended and Restated Agreement”), which amended and restated that certain Equity Distribution Agreement, dated March 4, 2019, by and between the Company and the Manager (the “Initial Agreement,” and together with the Amended and Restated Agreement, the “Prior Agreements”) on the terms and conditions described below in this Second Amended and Restated Equity Distribution Agreement (this “Agreement”), as follows:
