THE CASH MANAGEMENT TRUST OF AMERICA AMENDED AND RESTATED PRINCIPAL UNDERWRITING AGREEMENT THIS PRINCIPAL UNDERWRITING AGREEMENT, between THE CASH MANAGEMENT TRUST OF AMERICA, a Massachusetts business trust (the "Fund"), and AMERICAN FUNDS DISTRIBUTORS, INC., a California corporation ("the Distributor"). W I T N E S S E T H: WHEREAS, the Fund is registered under the Investment Company Act of 1940, as amended (the "1940 Act"), as an open-end diversified investment company which offers two classes of shares of beneficial interest, designated as Class A shares and Class B shares, and it is a part of the business of the Fund, and affirmatively in the interest of the Fund, to offer shares of the Fund either from time to time or continuously as determined by the Fund's officers subject to authorization by its Board of Trustees; and WHEREAS, the Distributor is engaged in the business of promoting the distribution of shares of investment companies through securities broker-dealers; and WHEREAS

AMENDED INVESTMENT ADVISORY AND SERVICE AGREEMENT THIS AGREEMENT, dated and effective as of the 1st day of March, 2000, is made and entered into by and between THE CASH MANAGEMENT TRUST OF AMERICA, a Massachusetts business trust, (hereinafter called the "Trust"), and CAPITAL RESEARCH AND MANAGEMENT COMPANY, a Delaware corporation, (hereinafter called the "Adviser"). This Agreement shall supersede the previous agreement between the Trust and the Adviser, which previous agreement shall terminate by mutual consent of the parties when this Agreement becomes effective. The parties agree as follows: 1. The Trust hereby employs the Adviser to furnish advice to the Trust with respect to the investment and reinvestment of the assets of the Trust.
