This AMENDED AND RESTATED CONSUMER CREDIT CARD PROGRAM AGREEMENT (the “Agreement”) is made as of the 28th day of February, 2014 by and among GE Capital Retail Bank, a federal savings bank (“Bank”), GE Capital Retail Finance Corporation, a Delaware corporation (“Bank Parent”), The Gap, Inc., a Delaware corporation (“The Gap, Inc.”), Gap (Puerto Rico), Inc., a Puerto Rico corporation, GPS Consumer Direct, Inc., a California corporation, Gap (Apparel), LLC, a California limited liability company, and Gap (ITM) Inc., a California corporation (jointly and severally, the “Retailers”).

AMENDMENT TO SERVICE AGREEMENT REGARDING POST-TERMINATION SEVERANCE PERIOD

By letter agreement signed on 12 June 2012, Gap Inc. and Stephen Sunnucks (“Executive”) amended Paragraph 14 of the Service Agreement between Executive and GPS (Great Britain) Limited, entitled Post-Termination Severance Period (“Paragraph 14”). Paragraph 14 provides eligibility for post-termination benefits in the event of certain terminations that occur prior to 13 February 2015. By this Amendment, Paragraph 14 is hereby extended to apply to certain terminations, as described in Paragraph 14, prior to 13 February 2018. Except as provided in this Amendment, the terms of the Paragraph 14 shall remain in effect.

Gap Inc. and Tom Keiser entered into an Agreement For Post-Termination Benefits (“Agreement”), dated May 31, 2012, which provides eligibility for post-termination benefits in the event of certain terminations that occur prior to February 13, 2015. By this Amendment, the Agreement is hereby extended to apply to certain terminations, as described in the Agreement, prior to February 13, 2018. Except as provided in this Amendment, the terms of the Agreement shall remain in effect.

Gap Inc. (“Company”) and Stefan Larsson (referred to in the second person) entered into a letter agreement executed on April 27, 2012 (“Agreement”). A section of the Agreement entitled Termination/Severance Following End Date (“Severance Provision”) provides eligibility for post-termination benefits in the event of certain terminations that occur prior to February 13, 2015. The Severance Provision of the Agreement is hereby replaced and superseded by this Amendment. Except as provided in this Amendment, the terms of the Agreement shall remain in effect.

We refer to the 3-Year Letter of Credit Agreement dated as of May 6, 2005 (such 3-Year Letter of Credit Agreement, as heretofore amended, the "Letter of Credit Agreement") among the undersigned and you. Capitalized terms not otherwise defined in this Letter Amendment No. 4 (this "Letter Amendment") have the same meanings as specified in the Letter of Credit Agreement.

The Agreement, in the section entitled Termination/Severance, provides eligibility for post-termination benefits in the event of certain terminations that occur prior to February 13, 2015. By this Amendment, the Termination/Severance section of the Agreement is hereby extended to apply to certain terminations, as described in the Agreement, prior to February 13, 2018. Except as provided in this Amendment, the terms of the Agreement shall remain in effect.

By this Amendment, the Agreement is hereby extended to apply to certain terminations, as described in the Agreement, prior to February 13, 2018. Except as provided in this Amendment, the terms of the Agreement shall remain in effect.
