THIS AMENDED AND RESTATED SEVERANCE AGREEMENT (this “Agreement”), made and entered into as of May 8, 2024 (the “Effective Date”), by and between Griffon Corporation, a Delaware corporation, with its principal executive office located at 712 Fifth Avenue, 18th Floor, New York, New York, 10019 (hereinafter, together with its subsidiaries, collectively referred to as the “Corporation”) and Brian G.
