THIS AMENDED AND RESTATED PRINCIPAL UNDERWRITING AGREEMENT, is between SHORT-TERM BOND FUND OF AMERICA, INC., a Maryland corporation (the "Fund"), and AMERICAN FUNDS DISTRIBUTORS, INC., a California corporation (the "Distributor").
