THIS AGREEMENT (“Agreement”) dated as of November 24, 2009, is made and entered by and between 4Kids Entertainment, Inc., (“Company”), a New York corporation with offices located at 1414 Avenue of the Americas, New York, NY 10019 4Kids Entertainment Licensing, Inc. (“Employer"), a New York corporation with offices located at 1414 Avenue of the Americas, New York, NY 10019 and Brian Lacey, (“Employee”) residing at 39 North Moore, New York, NY 10013.
