This EXCHANGE AGREEMENT (the “Agreement”) is dated this October __, 2006, by and among LSB INDUSTRIES, INC., a Delaware corporation (the “Company”), and PAUL J. DENBY, TRUSTEE OF THE PAUL DENBY REVOCABLE TRUST, U.A.D. 10/12/93 (the “Trust”), THE PAUL J. DENBY IRA (the “IRA”), DENBY ENTERPRISES, INC. (“DEI”), and TRACY DENBY, an individual (“T.
