THIS DEFERRED COMPENSATION AGREEMENT (the “Deferred Compensation Agreement”) is made this first day of April 2014 and between The Connecticut Water Company, a Connecticut corporation (together with any affiliated companies hereinafter collectively referred to as the "Employer") and Craig J. Patla, a resident of Madison, Connecticut (hereinafter referred to as the "Employee").

THIS AGREEMENT, dated this first day of April, 2014, is made by and between The Connecticut Water Company, a Connecticut corporation having its principal place of business in Clinton, Connecticut, ("Company"), Connecticut Water Service, Inc., a Connecticut corporation and holder of all of the outstanding capital stock of Company ("Parent") and Craig J. Patla, a resident of Madison, Connecticut, ("Employee").

This Severance Agreement and General Release (this "Agreement") is entered into this 20 day of March, 2014. The Connecticut Water Company and the Connecticut Water Service, Inc.
