This Mortgage Loan Purchase Agreement is made and entered into as of March 8, 2017 by and among each of the “Sellers” named on Schedule I hereof (the “Non-Bank Sellers”) and HSBC Bank USA, NA (“Bank Seller”) (together with Non Bank Sellers, the “Sellers” and individually, each a “Seller”), HSBC Finance Corporation individually (“Finance Company”) and in its capacity as seller representative (the “Seller Representative”) and DLJ Mortgage Capital, Inc. (the “Purchaser”).
