This AGREEMENT, is effective as of the 16th day of April, 2007 and is to become operational on October 16, 2007, between American Funds Service Company(the “Fund Agent ”) as transfer agent for each of the American Funds (“Funds”) and ING Life Insurance and Annuity Company, ING National Trust, ING USA Annuity and Life Insurance Company, ReliaStar Life Insurance Company, ReliaStar Life Insurance Company of New York, Security Life of Denver Insurance Company and Systematized Benefits Administrators Inc. This AGREEMENT, dated no later than April 16, 2007, and effective as of the 16th day of October, 2007, is between Fidelity Distributors Corporation (the “Underwriter”) as principal underwriter for each of the funds listed on the attached Schedule A (the “Fidelity Funds”) and ING Life Insurance and Annuity Company, ING National Trust, ING USA Annuity and Life Insurance Company, ReliaStar Life Insurance Company, ReliaStar Life Insurance Company of New York, Security Life of Denver Insurance Company and Systematized Benefits Administrators Inc (individually an “Intermediary” and collectively the “Intermediaries”).
