THIS TRANSACTION AGREEMENT (this “Agreement”), dated as of January 22, 2016, is entered into by and among EnTrustPermal Group Holdings LLC, a Delaware limited liability company (the “Permal Contributor”), EP Partners Holdings LLC, a Delaware limited liability company (“EP Partners”), GH Onshore GP LLC, a Delaware limited liability company (“Onshore GP”) and GH EP Holdings LLC, a Delaware limited liability company (“Holdco” or the “EnTrust Contributor”) and EnTrustPermal LLC, a Delaware limited liability company (the “Company”), and solely for purposes of Section 2.5, Section 6.2(a), Section 7.3, Section 10.2 and Section 11.2(a) hereof, Gregg S. Hymowitz (“Hymowitz” or “EnTrust Guarantor”) and Legg Mason, Inc. (“Legg” or “Permal Guarantor”).
