This Letter Agreement sets forth the terms and conditions of your decision to voluntarily end your consulting arrangement pursuant to your Amended and Restated Employment Agreement with CCA Industries, Inc., dated as of December 1, 1993, as amended by the (i) Amendment to the Amended and Restated Employment Agreement dated December 1, 1993, dated as of December 31, 1998, (ii) Amended and Restated Employment Agreement dated as of June 1, 2001, and (iii) Amended and Restated Employment Agreement, dated as of October 16, 2002 (collectively, the “Employment Agreement”), as well as voluntarily end any relationship you have had with any of CCA Industries, Inc.’s affiliates or subsidiaries (collectively, the “Company”), and the parties’ agreement on matters relating to the end of your consulting arrangement and any relationship with the Company, and terminate the Employment Agreement and your Change of Control Agreement with the Company dated as of March 15, 2011 (the “Change of Control Agree
