This Master Equity Agreement (the “Agreement”) is entered into as of April 8, 2024 (the “Agreement Date”), by and among Invacare Holdings Corporation, a Delaware corporation (the “Parent”), Invacare International Holdings Corp., a Delaware corporation (“Intermediate Holdings”), Invacare Corporation, an Ohio corporation (“Reorganized Invacare”) and each Holder party hereto (collectively, the “Holders”).

This Exchange Agreement (this “Agreement”) is made and entered as of April 8, 2024 (the “Execution Date”) by and among Invacare Holdings Corporation, a Delaware corporation (“Parent”), Invacare International Holdings Corp., a Delaware corporation (“Intermediate Holdings”), Invacare Corporation, an Ohio corporation (“Reorganized Invacare”), and the parties listed on Schedule I that are signatory hereto (each a “Holder”).
