This Amended and Restated Investment Advisory and Services Agreement made as of December 1, 2018, between Ameriprise Certificate Company (formerly American Express Certificate Company) (the Company), a Delaware corporation, hereinafter called "Company", and Columbia Management Investment Advisers, LLC (formerly RiverSource Investments, LLC) (the “Investment Manager”), a Minnesota limited liability company, amends and restates the Investment Advisory and Services Agreement dated December 31, 2006.
