LabOne and the purchasers entered into a securities purchase agreement, a warrant agreement and a registration rights agreement in connection with the Welsh, Carson financing. Welsh, Carson and certain members of the family of William D. Grant, including certain related trusts (the "Grant Family"), also entered into a voting agreement. In addition, LabOne and American Stock Transfer & Trust Co. entered into an amendment to the rights agreement dated February 11, 2000 with respect to LabOne's shareholder rights plan. LabOne also filed with the Missouri Secretary of State a certificate of designation of the Series B-1 Convertible Preferred Stock, which sets forth the terms of the Series B-1 Convertible Preferred Stock, and a certificate of designation of the Series B-2 Preferred stock, which sets forth the terms of the Series B-2 Preferred Stock.
