This Second Amended and Restated Employment Agreement (this “Agreement”) amends and restates, effective as of the 15th day of November, 2012, that certain Amended and Restated Employment Agreement made and entered into as of the 5th day of February, 2010 (the “Original Agreement”) by and between Vertex Pharmaceuticals Incorporated, a Massachusetts corporation (together with its successors and assigns, the “Company”), and Peter Mueller (the “Executive”).
