THIS SECOND AMENDED AND RESTATED TRUST AGREEMENT (this “Trust Agreement”) is made and entered into as of June 16, 2014, by ACCUSHARES INVESTMENT MANAGEMENT, LLC, a Delaware limited liability company, as sponsor, and WILMINGTON TRUST, N.A., a national banking association, as trustee, for the purpose of continuing a Delaware statutory trust in accordance with the provisions hereinafter set forth;
