This TRUST AGREEMENT dated as of October 18, 2006 among TRIAD FINANCIAL SPECIAL PURPOSE LLC, a Delaware limited liability company (the “Depositor”), TRIAD FINANCIAL CORPORATION, a California corporation, as sponsor of the Trust and Administrator (the “Administrator”), and WILMINGTON TRUST COMPANY, a Delaware banking corporation, as trustee and not in its individual capacity (the “Owner Trustee”), amends and restates in its entirety that certain Trust Agreement dated as of June 9, 2006 between the Depositor and the Owner Trustee.
