This MEMBERSHIP INTERESTS SECURITY AGREEMENT is made as of July 27, 2011 (this “Agreement”), by ARI NETWORK SERVICES, INC., a Wisconsin corporation (“Grantor”), to and in favor of FIFTH THIRD BANK, an Ohio banking corporation (hereinafter, together with its successors and assigns, referred to as “Lender”).

This LOAN AND SECURITY AGREEMENT dated as of July 27, 2011 (this “Agreement”), is executed by and between ARI NETWORK SERVICES, INC., a Wisconsin corporation (“Borrower”), which has its chief executive office located at 10850 West Park Place, Suite 1200, Milwaukee, Wisconsin 53224, and FIFTH THIRD BANK, an Ohio banking corporation (“Lender”), whose address is 222 South Riverside Plaza, 32nd Floor, Chicago, Illinois 60606.
