THIS AMENDED AND RESTATED AGREEMENT dated the 28th day of April, 2003 to the Distribution Agreement dated July 1, 1994, is made and entered into by and among Guinness Atkinson Funds, a Delaware statutory trust (the “Trust”), Guinness Atkinson Asset Management, LLC, a Delaware limited liability company (the “Advisor”) and Quasar Distributors, LLC, a Delaware limited liability company (the “Distributor”).
