THIS AGREEMENT is made and entered into as of this 7th day of December, 2005, by and between PERRITT MICROCAP OPPORTUNITIES FUND, INC., a Maryland corporation (the “Corporation”) and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”). PERRITT CAPITAL MANAGEMENT, INC., an Illinois corporation and the investment advisor to the Corporation (the “Advisor”), is a party hereto with respect to Section 5 only.
