THIS AGREEMENT is made and entered into as of this 18th day of December, 2006, by and among FAIRHOLME FUNDS, INC., a Maryland corporation (the “Company”), QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”) and FAIRHOLME CAPITAL MANAGEMENT, L.L.C., a Delaware limited liability company, the investment advisor to the Fund (the “Advisor”), is a party hereto with respect to Section 5 only.
