THIS AGREEMENT is made and entered into this 6th day of July, 2006, by and between ADVISOR SERIES TRUST, a Delaware business trust (the “Trust”), on behalf of its funds High Pointe Select Value Fund and High Pointe Small Cap Equity Fund and QUASAR DISTRIBUTORS, LLC, a Delaware limited liability company (the “Distributor”). HIGH POINTE CAPITAL MANAGEMENT, the investment advisor to the Fund (the “Advisor”), is a party hereto with respect to Section 5 only.
