THIS INVESTMENT ADVISORY AGREEMENT is made as of the 28th day of December, 2007, by and between Advisors Series Trust, a Delaware statutory trust (hereinafter called the "Trust"), on behalf of each series of the Trust as listed in Schedule A attached hereto (each a “Fund” and together the "Funds") and Rigel Capital LLC, a Delaware limited liability company (hereinafter called the "Advisor").
