THIS AMENDED AND RESTATED AGREEMENT is made and entered into as of this 18th day of October, 2007,by and among FAIRHOLME FUNDS, INC., a Maryland corporation (the “Company”) and U.S. BANCORP FUND SERVICES, LLC, a Wisconsin limited liability company (“USBFS”) and FAIRHOLME CAPITAL MANAGEMENT, L.L.C., a Delaware limited liability company (the “Advisor”), which is a party hereto with respect to Section 3 only.
