THIS INVESTMENT ADVISORY AGREEMENT is made as of the 1st day of May, 2009, by and between Professionally Managed Portfolios, a Massachusetts business trust (hereinafter called the “Trust”), on behalf of the series of the Trust indicated on Schedule A, which may be amended from time to time, (each a “Fund”, and together the “Funds”) and Windowpane Advisors, LLC, a California corporation (hereinafter called the “Adviser”).

This AGREEMENT is made as of the 1st day of May, 2009, by and between Hellman Jordan Management Company, Inc., a Massachusetts corporation located at 75 State Street, Suite 2420, Boston, MA 02109 (the “Sub-Adviser”), and Windowpane Advisors, L.L.C., a California corporation located at 600 West Broadway Street, Suite 1225, San Diego, CA 92101 (the “Adviser”).
